Parties
This Artist Performance Agreement (“Agreement”) is entered into by and between:
Artist: The performing artist accepting Hook assignments through the BuyDemoTracks platform (“Artist,” “you,” or “your”)
Platform: BuyDemoTracks, LLC (“BuyDemoTracks,” “Platform,” “we,” “us,” or “our”)
By accepting a Hook assignment or creating a Performance through the Platform, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
1. Definitions
“Hook” means any musical composition uploaded by a Songwriter to the Platform, including all associated lyrics, melodies, harmonies, and arrangements.
“Songwriter” means the creator and copyright owner of a Hook who has uploaded it to the Platform pursuant to the Songwriter License Agreement.
“Placement” means the Platform-facilitated matching of a Hook with an Artist for performance and social media posting.
“Performance” means the Artist’s audio and/or video recording of a Hook, including the Artist’s vocal performance, instrumental accompaniment (if any), visual presentation, video editing, and any other creative elements contributed by the Artist.
“Social Platforms” means TikTok, Instagram (including Instagram Reels), YouTube (including YouTube Shorts), Facebook, Snapchat, and any successor or similar social media or video-sharing platforms.
“Commercial Use” has the meaning set forth in the Songwriter License Agreement.
“Master Recording” means the specific sound recording embodied in the Artist’s Performance, as distinct from the underlying musical composition (Hook).
2. License Grant to Artist
2.1 Performance License
Upon acceptance of a Placement, BuyDemoTracks, on behalf of the Songwriter, grants Artist a limited, non-exclusive license to:
a) Perform the Hook, in whole or in part, including singing, rapping, speaking, or otherwise vocalizing the lyrics and/or melody
b) Record the Performance, including creating audio and video recordings incorporating the Hook
c) Post the Performance to Social Platforms in connection with the Placement
d) Synchronize the Hook with visual images in a video Performance for Social Platform posting
e) Adapt the Hook’s arrangement, tempo, key, and stylistic elements to suit the Artist’s creative interpretation, provided the fundamental melody and lyrics remain substantially recognizable
2.2 Limitations
The license granted to Artist is expressly limited as follows:
a) Platform-Facilitated Placements Only: This license applies only to Hooks received through BuyDemoTracks-facilitated Placements. Artist may not use Hooks obtained through the Platform for any purpose outside the scope of the Placement without a separate written agreement with the Songwriter.
b) Social Platform Use Only: Performances may be posted only to Social Platforms. Other uses — including live performances for compensation, radio broadcast, podcast inclusion, and synchronization in third-party video content — require separate licensing.
c) No Commercial Release: Artist may not release the Performance or any derivative work as a commercial single, album track, EP, or for distribution on streaming platforms (Spotify, Apple Music, Amazon Music, Tidal, etc.) without executing a separate Commercial Use Agreement with the Songwriter, facilitated by BuyDemoTracks.
d) No PRO Registration Without Consent: Artist may not register the Hook, the Performance, or any derivative work with any performing rights organization (ASCAP, BMI, SESAC, GMR) or mechanical rights organization (Harry Fox Agency) without the express prior written consent of the Songwriter. Unauthorized PRO registration constitutes a material breach of this Agreement and may result in immediate account termination and legal action.
e) No Sublicensing or Transfer: Artist may not sublicense, transfer, or assign the rights granted herein to any third party, including other artists, content creators, or labels.
f) No Claim of Authorship: Artist may not claim authorship or co-authorship of the underlying musical composition (Hook). The Artist’s creative contribution is limited to the Performance.
3. Artist’s Rights
3.1 Master Recording Ownership
Artist retains one hundred percent (100%) ownership of the Master Recording — the specific sound recording created by the Artist in performing the Hook. This includes:
a) The Artist’s vocal performance and any original vocal arrangements
b) Any original instrumental accompaniment recorded by the Artist
c) The video content, visual presentation, and editing of the Performance
d) Any original production elements (beats, sound effects, backing tracks) added by the Artist, provided such elements do not incorporate the Hook’s composition in a manner that creates an inseparable derivative work
3.2 Songwriter Retains Composition
For the avoidance of doubt, the Songwriter retains 100% ownership of the underlying musical composition, including the melody, lyrics, harmony, and arrangement of the Hook. The Artist’s ownership of the Master Recording does not confer any ownership interest in the composition.
3.3 Artist’s Right to Portfolio Use
Artist may include the Performance in their personal portfolio, demo reel, or artist profile for the purpose of showcasing their talent, even after the license term expires, provided:
- The Performance is not monetized independently of the original Social Platform posting
- Proper credit is given to the Songwriter per Section 4
- The use is for self-promotional purposes only
- Reduction of Artist tier status
- Temporary suspension of new Placements
- Account termination for persistent violations
- Original creations of the Artist
- Properly licensed for use in the Performance
- Royalty-free or Creative Commons licensed and properly attributed
- BuyDemoTracks, if Artist fails to meet performance obligations (Section 5)
- Artist, before recording begins, by declining the Placement (no penalty for the first three declines per quarter; excessive declines may affect tier status)
- Material breach of this Agreement
- Repeated failure to meet performance obligations
- Fraudulent activity
- Violation of Platform Terms of Service
- Artist’s right to accept new Placements ceases immediately
- Existing Performances that have been posted to Social Platforms may remain live per the terms of the applicable Placement
- Outstanding payment obligations survive termination
- Sections 2.2 (Limitations), 3 (Artist’s Rights), 4 (Credit), 7 (Content ID), 8 (Warranties), 9 (Indemnification), and 11 (Governing Law) survive termination
4. Credit and Attribution
4.1 Songwriter Credit Required
Artist must credit the Songwriter in every social media post containing a Performance. Credit must be provided in the following manner:
a) TikTok/Instagram/YouTube: Include in the video caption or description: “Song by [Songwriter Name] via @BuyDemoTracks” or “Original song by [Songwriter Name] | Found on BuyDemoTracks”
b) Hashtag: Include #BuyDemoTracks or #HookMarketplace in the post
c) Link (when available): Include a link to the Songwriter’s Platform profile or the Platform homepage in the Artist’s bio or link-in-bio page
4.2 Platform Credit
Artist agrees to credit BuyDemoTracks as the facilitating platform in a reasonable manner in all Performances. This credit supports the Platform’s growth loop and benefits both Artists and Songwriters.
4.3 Failure to Credit
Repeated failure to provide proper credit (three or more instances) constitutes a material breach of this Agreement and may result in:

5.1 Posting Timeline
Upon accepting a Placement, Artist agrees to:
a) Record the Performance within seven (7) calendar days of receiving the Hook, unless a different timeline is specified in the Placement confirmation
b) Post the Performance to at least one Social Platform within forty-eight (48) hours of recording, unless a different timeline is specified
c) Maintain the Performance on the Social Platform for a minimum of ninety (90) days from the date of posting. Artist may not delete, archive, or make private the Performance within this period unless required by law, platform policy, or Content ID dispute resolution.
5.2 Quality Standards
Artist agrees that all Performances will meet the following minimum quality standards:
a) Audio quality sufficient for Social Platform presentation (no excessive background noise, distortion, or technical defects)
b) Video quality meeting the minimum resolution requirements of the target Social Platform
c) Professional presentation consistent with the Artist’s established content style
d) Accurate representation of the Hook’s lyrics and melody (creative interpretation is encouraged; misrepresentation of the song is not)
5.3 Failure to Perform
If Artist fails to complete and post a Performance within the agreed timeline:
a) The Placement may be reassigned to another Artist at BuyDemoTracks’ discretion
b) Artist forfeits the performance fee for that Placement
c) Repeated failures (three or more) may result in account suspension or termination
6. Payment and Revenue Sharing
6.1 Performance Fees
Artists are paid a performance fee for each completed Placement, as specified in the Placement confirmation. Artists set their own rates, subject to Platform minimum and maximum guidelines. BuyDemoTracks retains a platform fee of fifteen percent (15%) of each transaction.
6.2 Payment Schedule
Performance fees are paid within fourteen (14) business days of the Artist posting the Performance to a Social Platform, subject to verification that the posting meets the requirements of this Agreement.
6.3 Revenue Sharing — Social Platform Monetization
If the Artist’s Performance generates revenue through Social Platform monetization programs (e.g., TikTok Creator Fund, YouTube Partner Program, Instagram Bonuses):
a) The Artist retains 100% of revenue earned through Social Platform monetization of their Master Recording
b) This does not entitle the Songwriter or BuyDemoTracks to any portion of the Artist’s Social Platform monetization earnings for standard Placements
c) If the Hook’s composition is separately monetized through Content ID on the Performance’s video, such revenue belongs to the Songwriter/rights holder
6.4 Revenue Sharing — Commercial Use
If a Performance leads to a Commercial Use opportunity (e.g., the Songwriter wants to release the Artist’s Performance commercially, or a label expresses interest):
a) A separate Commercial Use Agreement must be executed
b) Default revenue sharing terms (subject to negotiation):
– Artist receives a minimum of fifteen percent (15%) of net commercial revenues attributable to the Master Recording
– Songwriter retains composition (publishing) revenues
– BuyDemoTracks receives ten percent (10%) facilitation fee on commercial deals
c) Artist has the right to decline any Commercial Use opportunity without penalty
6.5 Taxes
Artist is responsible for all applicable income taxes on payments received through the Platform. BuyDemoTracks may require tax identification information (W-9 or W-8BEN) and may report payments to the IRS as required by law.
7. Content ID
7.1 Platform Handling
BuyDemoTracks will manage Content ID issues related to Platform-facilitated Placements as follows:
a) If a Songwriter’s Content ID registration triggers a claim on an Artist’s Performance, BuyDemoTracks will coordinate with the Songwriter to release the claim within seventy-two (72) hours
b) If a third-party Content ID claim is filed against an Artist’s Performance, BuyDemoTracks will assist in investigating the claim and, if the claim relates to the Hook, will coordinate with the Songwriter to resolve it
c) If a Content ID claim results in the Performance being muted, blocked, or removed, BuyDemoTracks will work to restore it. If restoration is not possible, the Artist may be entitled to compensation as determined through the dispute resolution process.
7.2 Artist Obligations
Artist agrees not to:
a) File a Content ID claim or copyright claim against the Songwriter for the Hook’s composition appearing in the Artist’s own Performance
b) Register the Performance with a Content ID service in a manner that would block or claim revenue from the Songwriter’s original Hook or other Artists’ Performances of the same Hook
c) Dispute a valid Songwriter Content ID claim on the composition embedded in the Performance
8. Artist Representations and Warranties
By accepting a Placement and creating a Performance, Artist represents and warrants that:
8.1 Original Performance
The Performance is an original recording created by the Artist, and any production elements, beats, sound effects, or backing tracks incorporated into the Performance are either:
8.2 No Unauthorized Content
The Performance does not incorporate any third-party copyrighted material for which the Artist has not obtained proper clearance, with the exception of the Hook itself as licensed through this Agreement.
8.3 Legal Capacity
Artist has the legal right and authority to enter into this Agreement and to create and post the Performance as described herein.
8.4 No Conflicting Obligations
Artist is not subject to any exclusive recording agreement, management agreement, or other contractual obligation that would prevent Artist from performing under this Agreement. If Artist is subject to such agreements, Artist warrants that they have obtained the necessary consents.
8.5 Platform Compliance
Artist will comply with all applicable terms of service and community guidelines of the Social Platforms on which Performances are posted.
9. Indemnification
Artist agrees to indemnify, defend, and hold harmless BuyDemoTracks, its officers, directors, employees, agents, and the Songwriters matched through the Platform from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorneys’ fees) arising from:
a) Any breach of the representations and warranties in Section 8
b) Any claim that elements of the Performance (excluding the Hook itself) infringe the intellectual property or other rights of a third party
c) Artist’s violation of any Social Platform’s terms of service in connection with a Performance
d) Any unauthorized Commercial Use of the Hook by the Artist

11. Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of the State of Tennessee. Any disputes arising under this Agreement shall be resolved in accordance with the dispute resolution provisions of the BuyDemoTracks Terms of Service, which are incorporated herein by reference.
12. Miscellaneous
12.1 Independent Contractor
Artist is an independent contractor and not an employee, agent, or partner of BuyDemoTracks. Nothing in this Agreement creates an employment, agency, or partnership relationship.
12.2 Entire Agreement
This Agreement, together with the Terms of Service and any applicable Placement confirmations, constitutes the entire agreement between Artist and BuyDemoTracks regarding Artist’s performance services through the Platform.
12.3 Amendment
BuyDemoTracks may amend this Agreement with thirty (30) days’ notice. Continued acceptance of Placements constitutes acceptance of amended terms.
12.4 Severability
If any provision is held invalid, the remaining provisions continue in full force.
12.5 No Waiver
Failure to enforce any provision shall not constitute a waiver.
