1. Agreement to Terms
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and BuyDemoTracks, LLC (“BuyDemoTracks,” “Company,” “we,” “us,” or “our”), governing your access to and use of the BuyDemoTracks platform, website located at buydemotracks.com, and all related services, features, content, and applications (collectively, the “Platform”).
By creating an account, accessing, or using the Platform in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional guidelines, policies, or rules posted on the Platform. If you do not agree to these Terms, you may not access or use the Platform.
If you are using the Platform on behalf of a business, organization, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms, and “you” and “your” shall refer to that entity.
2. Platform Description and Scope
2.1 What BuyDemoTracks Is
BuyDemoTracks is a two-sided platform that connects songwriters (“Songwriters”) with performing artists (“Artists”) for the purpose of music discovery and validation through social media performance. The Platform facilitates:
- The upload and submission of musical hooks, choruses, verses, and other short-form musical compositions (“Hooks”) by Songwriters
- The matching of Hooks with Artists based on style, audience, and genre fit
- The performance, recording, and social media posting of Hooks by Artists
- Analytics and engagement tracking for Hook placements
- Optional copyright registration assistance
- Optional full production services for validated Hooks
- Display, reproduce, and distribute your content within the Platform for the purposes of matching, promotion, and Platform operation
- Use excerpts of your content (up to 15 seconds) in Platform marketing materials, including social media, website, and advertising
- Create thumbnail images, waveforms, and metadata displays of your content
- Cache and store your content on our servers and those of our service providers
- THE PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
- THE RESULTS OBTAINED FROM USE OF THE PLATFORM WILL BE ACCURATE OR RELIABLE
- ANY HOOK WILL ACHIEVE ANY SPECIFIC NUMBER OF VIEWS, ENGAGEMENT, OR COMMERCIAL SUCCESS
- ANY ARTIST PERFORMANCE WILL MEET SONGWRITER EXPECTATIONS
- THE PLATFORM WILL BE FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS
- Your right to access and use the Platform ceases immediately
- Any licenses granted to you under these Terms terminate, except as necessary to complete in-progress placements
- BuyDemoTracks may retain your content for a reasonable period to fulfill outstanding obligations, comply with legal requirements, and resolve disputes
- Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to: intellectual property provisions, disclaimers, limitations of liability, indemnification, dispute resolution, and governing law
2.2 What BuyDemoTracks Is Not
BuyDemoTracks is not a music publisher, record label, talent agency, or performing rights organization. We do not acquire ownership of any musical composition or sound recording uploaded to or created through the Platform. We do not guarantee commercial success, viral reach, record deals, or any specific outcome from the use of our services.
2.3 Eligibility
You must be at least eighteen (18) years of age to create an account and use the Platform. By using the Platform, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are between 13 and 17 years of age, you may use the Platform only with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms.
3. User Accounts
3.1 Account Types
The Platform offers two primary account types:
Songwriter Account: For individuals who wish to upload Hooks and have them performed by Artists through the Platform.
Artist Account: For individuals who wish to perform, record, and post Hooks to their social media channels through the Platform.
Users may hold both a Songwriter Account and an Artist Account simultaneously.
3.2 Account Registration
To create an account, you must provide accurate, current, and complete information as prompted by the registration form. You agree to update your information promptly to keep it accurate, current, and complete.
3.3 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify BuyDemoTracks of any unauthorized use of your account or any other breach of security. BuyDemoTracks will not be liable for any loss or damage arising from your failure to protect your account credentials.
3.4 Account Verification
BuyDemoTracks reserves the right to verify the identity and credentials of any User. Artist Accounts are subject to a vetting process that may include review of social media presence, engagement metrics, content quality, and genre fit. BuyDemoTracks reserves the sole discretion to approve or reject Artist Account applications.
4. Intellectual Property Rights and Ownership
4.1 Songwriter Ownership
Songwriters retain one hundred percent (100%) ownership of all copyrights in their musical compositions, lyrics, and any other original creative works uploaded to the Platform. Nothing in these Terms or any other agreement on the Platform transfers copyright ownership from Songwriter to BuyDemoTracks or to any Artist.
4.2 Artist Ownership
Artists retain all rights in their specific sound recordings (master recordings) created through performances of Hooks on the Platform. Artists do not acquire any ownership interest in the underlying musical composition, lyrics, or Hook.
4.3 Platform License
By uploading content to the Platform, you grant BuyDemoTracks a non-exclusive, worldwide, royalty-free license to:
This license continues for the duration of your account plus ninety (90) days after account termination or content removal, solely for the purpose of completing any in-progress placements and fulfilling archival obligations.
4.4 Song-to-Artist Licensing
The licensing of Hooks from Songwriters to Artists is governed by the separate Songwriter License Agreement and Artist Performance Agreement, which are incorporated herein by reference. Please review those agreements carefully before uploading Hooks or accepting performance assignments.
4.5 BuyDemoTracks IP
All Platform content, features, and functionality — including but not limited to the website design, text, graphics, logos, icons, images, audio clips, software, and compilation thereof — are the exclusive property of BuyDemoTracks or its licensors and are protected by United States and international copyright, trademark, and other intellectual property laws.
The BuyDemoTracks name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of BuyDemoTracks. You may not use such marks without our prior written permission.
5. Payment Terms
5.1 Songwriter Payments
Songwriters pay for services as described in the current pricing schedule posted on the Platform. All fees are quoted and payable in United States Dollars (USD). Payment is due at the time of purchase. We accept payment through the methods specified on the Platform.
5.2 Artist Payments
Artists set their own performance rates, subject to Platform minimums and maximums as posted. BuyDemoTracks facilitates payment from Songwriters to Artists and retains a platform fee of fifteen percent (15%) of each transaction unless otherwise specified.
5.3 Payment Processing
All payments are processed through our third-party payment processor(s). By making a purchase, you agree to the payment processor’s terms of service. BuyDemoTracks is not responsible for errors, delays, or failures caused by the payment processor.
5.4 Taxes
You are responsible for all applicable taxes associated with your use of the Platform, including income taxes on earnings received through the Platform. BuyDemoTracks may be required to report payments to Artists to the Internal Revenue Service (IRS) and may request tax identification information (W-9 or W-8BEN) from Users.
5.5 Refunds and Credits
Standard Policy: Due to the nature of creative services, all purchases are generally non-refundable once an Artist has been matched and assigned to perform the Hook.
Success Guarantee (Premium Tier): Premium tier Songwriters are eligible for a credit equal to fifty percent (50%) of the purchase price, issued as Platform credits, if the total aggregate views across all Artist placements of their Hook are fewer than one thousand (1,000) within sixty (60) days of the last Artist posting. This guarantee applies only to the Premium tier and is limited to one (1) claim per Hook.
Pre-Matching Cancellation: If a Songwriter requests cancellation before any Artist has been matched, a full refund will be issued minus a ten percent (10%) administrative fee.
Disputes: Payment disputes should be submitted through the Platform’s dispute resolution process before initiating a chargeback with your payment provider. Initiating a chargeback without first attempting resolution through the Platform may result in account suspension.
6. Content Moderation and Prohibited Content
6.1 Content Standards
All content uploaded to or created through the Platform must comply with these content standards. You agree not to upload, post, or transmit any content that:
a) Infringes any third-party copyright, trademark, trade secret, or other intellectual property right
b) Contains samples, loops, or other material for which you have not obtained proper clearance and licensing
c) Is defamatory, libelous, obscene, pornographic, or sexually explicit
d) Promotes violence, discrimination, hatred, or harassment against any individual or group
e) Contains threats, intimidation, or incitement to violence
f) Violates any applicable law, regulation, or ordinance
g) Contains malware, viruses, or other harmful code
h) Is fraudulent, deceptive, or misleading
i) Impersonates any person or entity
j) Contains personal information of third parties without their consent
6.2 Content Review
BuyDemoTracks reserves the right, but is not obligated, to review, monitor, and remove any content at our sole discretion and without notice. Jared Easter or designated curators review Hooks for quality and Platform fit. Rejection of a Hook for quality reasons is not a refund-eligible event unless the Hook has not yet been matched with an Artist.
6.3 Reporting
Users may report content that violates these standards through the Platform’s reporting mechanism. BuyDemoTracks will investigate reports in a timely manner and take appropriate action.
7. Limitation of Liability
7.1 Disclaimer of Warranties
THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. BUYDEMOTRACKS SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
BUYDEMOTRACKS DOES NOT WARRANT THAT:
7.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BUYDEMOTRACKS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
a) YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE PLATFORM
b) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE PLATFORM
c) ANY CONTENT OBTAINED FROM THE PLATFORM
d) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT
e) COPYRIGHT INFRINGEMENT CLAIMS RELATED TO CONTENT UPLOADED BY OTHER USERS
f) FAILURE OF ANY ARTIST TO COMPLETE A PERFORMANCE OR POST CONTENT
g) CONTENT ID CLAIMS OR TAKEDOWNS ON THIRD-PARTY PLATFORMS
IN NO EVENT SHALL BUYDEMOTRACKS’ AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE PLATFORM EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO BUYDEMOTRACKS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
7.3 Basis of the Bargain
YOU ACKNOWLEDGE THAT BUYDEMOTRACKS HAS OFFERED THE PLATFORM AND ENTERED INTO THESE TERMS IN RELIANCE UPON THE DISCLAIMERS AND LIMITATIONS OF LIABILITY SET FORTH HEREIN, WHICH FORM AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN YOU AND BUYDEMOTRACKS.
8. Indemnification
You agree to indemnify, defend, and hold harmless BuyDemoTracks, its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to attorneys’ fees) arising from:
a) Your use of and access to the Platform
b) Your violation of any provision of these Terms
c) Your violation of any third-party right, including any intellectual property, property, or privacy right
d) Any claim that your content (whether Hook, performance, or other material) caused damage to a third party
e) Your breach of any representation or warranty made in these Terms or any other Platform agreement
f) Any tax liability arising from your earnings through the Platform
This indemnification obligation shall survive the termination of these Terms and your use of the Platform.
9. Dispute Resolution
9.1 Informal Resolution
Before filing any formal legal proceedings, you agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Platform (“Dispute”) by contacting BuyDemoTracks at legal@buydemotracks.com. BuyDemoTracks will attempt to resolve the Dispute informally within thirty (30) days. If the Dispute is not resolved within thirty (30) days, either party may proceed to binding arbitration as described below.
9.2 Binding Arbitration
PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS.
Any Dispute that cannot be resolved informally shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules, as modified by this arbitration provision. The arbitration shall be conducted by a single arbitrator.
The arbitration shall take place in Nashville, Davidson County, Tennessee, or at another mutually agreed location. The arbitration may also be conducted by telephone, online, or based solely on written submissions, as determined by the arbitrator.
The arbitrator shall apply Tennessee law consistent with the Federal Arbitration Act and applicable statutes of limitations. The arbitrator may award any relief that a court of competent jurisdiction could award, including attorneys’ fees when authorized by law. The arbitral decision may be enforced in any court of competent jurisdiction.
9.3 Class Action Waiver
YOU AND BUYDEMOTRACKS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. Unless both you and BuyDemoTracks agree otherwise, the arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of a representative or class proceeding.
9.4 Exceptions to Arbitration
Notwithstanding the foregoing, either party may bring an individual action in small claims court for Disputes within the jurisdiction of small claims court. Either party may also seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.
9.5 Opt-Out Right
You have the right to opt out of binding arbitration within thirty (30) days of first accepting these Terms by sending written notice to legal@buydemotracks.com with the subject line “Arbitration Opt-Out.” If you opt out, you and BuyDemoTracks agree to resolve any Dispute exclusively in the state or federal courts located in Davidson County, Tennessee.
10. Governing Law
These Terms and any Dispute arising out of or related to these Terms or the Platform shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law provisions. To the extent that litigation is permitted under these Terms, you and BuyDemoTracks consent to the personal jurisdiction of and venue in the state and federal courts located in Davidson County, Tennessee.
11. DMCA Compliance
11.1 Respect for Intellectual Property
BuyDemoTracks respects the intellectual property rights of others and expects Users to do the same. We comply with the Digital Millennium Copyright Act (“DMCA”) and respond to notices of alleged copyright infringement that comply with the DMCA and applicable law.
11.2 DMCA Procedures
Our complete DMCA policy, including designated agent information and procedures for submitting takedown notices and counter-notifications, is available in our separate DMCA Policy document, which is incorporated herein by reference.
11.3 Repeat Infringers
BuyDemoTracks will terminate, in appropriate circumstances, the accounts of Users who are repeat infringers of copyright.
12. Termination
12.1 Termination by You
You may terminate your account at any time by contacting us at support@buydemotracks.com or through the account settings on the Platform. Termination does not entitle you to a refund of any fees paid, except as expressly provided in these Terms.
12.2 Termination by BuyDemoTracks
BuyDemoTracks may suspend or terminate your account and access to the Platform at any time, with or without cause, and with or without notice. Grounds for termination include but are not limited to:
a) Breach of these Terms or any other Platform agreement
b) Fraudulent, abusive, or illegal activity
c) Failure to pay fees when due
d) Repeated copyright infringement
e) Conduct that is harmful to other Users, BuyDemoTracks, or third parties
f) Extended inactivity (twelve (12) months or more)
12.3 Effect of Termination
Upon termination:
12.4 Content After Termination
Songwriters may request removal of their Hooks from the Platform upon account termination. However, Artist performances that have already been posted to third-party social media platforms are not within BuyDemoTracks’ control and cannot be removed by BuyDemoTracks. Active licenses under the Songwriter License Agreement continue according to their terms.
13. Modification of Terms
13.1 Right to Modify
BuyDemoTracks reserves the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Platform with a new “Last Updated” date and, for material changes, by sending notice to the email address associated with your account at least thirty (30) days before the changes take effect.
13.2 Acceptance of Modifications
Your continued use of the Platform after the effective date of any modification constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Platform and terminate your account.
13.3 No Retroactive Changes
Modifications to these Terms will not apply retroactively to Disputes or transactions that arose before the effective date of the modification.
14. General Provisions
14.1 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, or if modification is not possible, shall be severed from these Terms. The invalidity of any provision shall not affect the validity or enforceability of any other provision.
14.2 Waiver
The failure of BuyDemoTracks to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of BuyDemoTracks.
14.3 Entire Agreement
These Terms, together with the Privacy Policy, Songwriter License Agreement, Artist Performance Agreement, DMCA Policy, and any other agreements referenced herein, constitute the entire agreement between you and BuyDemoTracks regarding the Platform and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.
14.4 Assignment
You may not assign or transfer these Terms or your rights hereunder, in whole or in part, without the prior written consent of BuyDemoTracks. BuyDemoTracks may assign these Terms without restriction.
14.5 Force Majeure
BuyDemoTracks shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, internet service disruptions, or third-party platform outages.

14.7 Headings
The headings in these Terms are for convenience only and have no legal or contractual effect.
14.8 Relationship
Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and BuyDemoTracks. Artists using the Platform are independent contractors, not employees of BuyDemoTracks.
